Riverstone Holdings, The Carlyle Group and Dominion Energy to Build up to 300 Million Gallons of Bio Refining Capacity in Alberta, Canada

2006-076

New York – Riverstone Holdings (Riverstone), The Carlyle Group (Carlyle) and Dominion Energy Services LLC. (Dominion Energy) today announced plans to expand their existing relationship by building up to 300 million gallons of bio refining capacity in Alberta, Canada. The bio refinery will consist of a combined 100 million gallon ethanol facility, a 100 million gallon canola oil crush facility and a 100 million gallon bio diesel facility. The three plants will utilize one central utility system and be built to accommodate multiple feedstocks to provide economies of scale and maximum flexibility. Construction on the ethanol facility will begin in the first quarter of 2007, with commercial production expected to come online mid-2008. The crushing facility and biodiesel facility would follow shortly thereafter. Carlyle/Riverstone Renewable Energy Infrastructure Fund I, L.P. (CRREIF) will own a controlling interest in the facility, with management owning the balance.

The plants are expected to create 90 jobs as well as an additional 200 indirect jobs in service of the plant. Construction-related jobs are expected to employ approximately 400 people. Upon completion, the facilities will meaningfully increase Canada’s bio fuel output and place Alberta in the forefront of renewable fuels in the country.

Ethanol is a renewable, clean-burning fuel that contains a high percentage (35%) of oxygen that encourages a more complete combustion of vehicle fuel thereby reducing harmful emissions.

Canola oil is oil derived from rapeseed and is a trademarked hybrid of rape initially bred in Canada.

Biodiesel is a renewable, clean-burning fuel comprising mono-alkyl esters of long chain fatty acids derived from vegetable oils or animal fats and reduces harmful emissions when blended with regular diesel fuel.

"We are excited to partner with the team at Dominion Energy. We see a receptive environment to locate a major bio fuel investment in Alberta. We also anticipate continued opportunities to work together with Dominion Energy. We believe renewable energy will play an increasing role in delivering the energy needs of North America," said Stephen Schaefer, Managing Director of Riverstone.

"The production from the Alberta facility will help meet national and provincial renewable fuel targets, and the crop supply and labor will be drawn from the local community," said Curtis Chandler, President of Dominion Energy. "This makes the project a national, provincial and local success in our view."

"This announcement acknowledges the potential that Alberta has to offer to those in the bioenergy sector," said the Honourable Doug Horner, Minister of Alberta Agriculture, Food and Rural Development for the province of Alberta, Canada. "We are also pleased that the Dominion/Riverstone team recognizes the value of Alberta’s recently announced bioenergy initiatives and have chosen to make this significant investment in our province. We are looking forward to the completion of this world-class facility," he added.
