Orizonia Acquires 50% OF Rumbo From Amadeus;Rumbo In Turn Acquires Viajar.com and Terra Business Travel and Creates a Powerful European Group With Predicted Sales of Over 500 Million Euros in 2008

Barcelona - Orizonia Corporación (“Orizonia”), one of the main tourism groups in Spain, announced today a final agreement to acquire 50% of Rumbo from Amadeus. Rumbo is Spain's leading online travel agency and has a strong presence in Portugal and Latin America. Orizonia will also become partners with Telefónica, which maintains its 50% share of Rumbo.

Together with this operation, Rumbo has acquired Viajar.com, one of the major online travel agencies, from Orizonia Corporación and Terra Business Travel, Grupo Telefónica's corporate travel division. This integration will enable the creation of an even more distinguished leader in the online travel market, and one of Europe's major operators. Predicted sales for the online group in 2008 exceed 500 million Euros.

Orizonia's move on Rumbo will also mean consolidating the Spanish travel company within the online travel market after last year's acquisition of Viajar.com. Rumbo and Orizonia together had turnover of over 3 billion Euros in 2007.


Pedro de Esteban, President of Orizonia and Managing Director of The Carlyle Group, explained that, "The integration of the three companies will improve synergies and increase profitability, thus creating one of the European giants of online travel. We are very happy about continuing to contribute toward Orizonia's growth as one of the key operators in the Spanish tourist market."


The acquisition of Rumbo, the first this year made by a portfolio company of a private equity firm, is the fourth made by Orizonia since its acquisition in 2006 by The Carlyle Group and Vista Capital. It recently acquired tour operator Condor Vacaciones, online travel agency Viajar.com and it created a joint venture with Carnival Corporation.

The deal is subject to approval by the competition authorities, and it is expected to be closed during the first quarter of 2008.
