The Carlyle Group to Sell UC4 Software to EQT

2012-047

Continuous investment transforms UC4 into
globally recognized IT automation software company

London, UK –Global alternative asset manager The Carlyle Group today announced that it has agreed to sell UC4 Software to EQT, a Northern European private equity firm, for an enterprise value of €220 million. Further details of the transaction were not disclosed. The transaction is subject to customary closing conditions and is expected to close in the 4th quarter.

UC4 Software is the world’s largest independent IT Process Automation software company. Founded in 1985, UC4 employs more than 300 staff with customers across 71 countries automating tens of millions of operations a day for more than 2,000 customers worldwide.

Carlyle Europe Technology Partners I, L.P. acquired UC4 in March 2006 as a platform for industry consolidation in the IT Process Automation sector. Carlyle’s continuous investment in UC4 helped transform the company from a regionally focused IT job scheduling vendor to a globally recognized IT automation software company whose innovative product and service offerings are consistently acknowledged by noted analysts Gartner, Forrester, 451 Group and IDC.

Jason Liu, Chief Executive Officer of UC4, said, “We are delighted to have partnered with Carlyle, which has supported our growth and development into a truly global company with a loyal customer base of more than 2,000 blue chip businesses. UC4 has come a long way in the last few years, which would not have been possible without the strong engagement of our shareholders, the board and all the UC4 employees.”

Michael Wand, Managing Director at The Carlyle Group said, “UC4 is an excellent example of Carlyle value creation. Partnering with the founding management in 2006, we had the joint vision to create the largest independent IT automation software vendor through strong commitment to R&D, product innovation, marketing and sales focus, and three add-on acquisitions, including the merger with Appworx in the US. UC4 has delivered outstanding growth and returns and we are proud to have supported Jason and his team in growing the company into the world’s largest independent IT Process Automation vendor.”

Carlyle is advised by Arma Partners, Freshfields Bruckhaus Derringer and Ernst & Young.
